Terms of Service

1. Acceptance of Terms

By accessing or using the KaddyAI platform ("Platform"), including our website, mobile application, and all associated services, you ("User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Platform. KaddyAI LTD ("KaddyAI", "we", "us", or "our") reserves the right to update these Terms at any time. Continued use of the Platform following any update constitutes your acceptance of the revised Terms. We will endeavour to notify registered users of material changes via email or in-app notification.

2. Eligibility

To register and participate on the KaddyAI Platform, you must: (a) be at least 18 years of age; (b) be a resident or citizen of Kenya or a jurisdiction where forecasting market participation is lawful; (c) have full legal capacity to enter into a binding agreement; and (d) not have been previously suspended or permanently banned from the Platform. By creating an account, you represent and warrant that all eligibility requirements are met. KaddyAI reserves the right to verify your identity and eligibility at any time and to suspend or terminate accounts that fail to satisfy these requirements. Participation by residents of jurisdictions where forecasting markets are prohibited by law is strictly forbidden, and KaddyAI accepts no liability for participation in breach of local laws.

3. Account Registration & Responsibilities

You agree to provide accurate, current, and complete information when creating your account and to keep such information up to date. Each user is permitted to maintain only one account; duplicate accounts may be merged or terminated at KaddyAI's discretion. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify KaddyAI immediately at support@kaddyai.co if you suspect any unauthorised access to or use of your account. KaddyAI shall not be liable for any loss arising from your failure to protect your account credentials. You may not share, sell, or transfer your account to any third party.

4. Market Participation Rules

KaddyAI operates parimutuel-style forecasting pools. When you participate in a market, your stake is placed against other participants' stakes in a shared pool; payouts are determined proportionally by the pool distribution at market close. Participation requires a sufficient available wallet balance; credit is not extended. You agree not to engage in any form of market manipulation, including coordinated plays designed to artificially influence pool distribution, wash trading, or collusion with market creators or other users. KaddyAI monitors activity for manipulation and may void plays, withhold payouts, or terminate accounts where manipulation is detected. All plays are final once submitted and cannot be reversed except in circumstances expressly set out in our Market Resolution Policy.

5. Market Creation Rules

Users approved as Market Makers may create forecasting markets on the Platform. Market creators must ensure that: (a) market descriptions are clear, accurate, and not misleading; (b) resolution criteria are objective, specific, and verifiable by reference to a defined public source; (c) market topics comply with our Community Guidelines and do not promote prohibited content; (d) markets are not created with the intent to manipulate outcomes or defraud participants. KaddyAI reserves the right to reject, modify, or remove any market at its discretion without notice. Market creators are responsible for the accuracy of their market descriptions and may be held liable for losses caused by materially misleading information.

6. Market Resolution Rules

All forecasting markets are resolved by KaddyAI in accordance with the resolution criteria published at market creation. KaddyAI's resolution decisions are final and binding. Where resolution criteria are ambiguous, KaddyAI will apply the interpretation most consistent with the evident intent of the market. In the event of a data source failure or other circumstance making fair resolution impossible, KaddyAI may void the market and refund all plays. Disputes regarding resolution may be submitted within 48 hours of resolution as described in our Market Resolution Policy. 7. Host Page Rules

Users approved to operate Host Pages agree to: (a) adhere to KaddyAI's brand guidelines and content standards at all times; (b) not display or promote prohibited content, including hate speech, sexually explicit material, or illegal services; (c) actively maintain community standards on their Host Page; (d) not misrepresent their affiliation with or endorsement by KaddyAI; and (e) comply with all applicable Kenyan laws in the operation of their Host Page. KaddyAI may suspend or permanently close Host Pages that violate these rules, and Host Page operators may forfeit any accrued revenue share in cases of serious or repeated violations.

8. Referral Program Rules

KaddyAI may operate a referral program under which eligible users earn rewards for inviting new users to the Platform. Referral rewards are subject to the following rules: (a) self-referral is prohibited; you may not refer yourself using alternative email addresses or other methods; (b) referral rewards are only earned where the referred user registers a genuine, independent account and completes the required qualifying activity; (c) any attempt to manipulate the referral program through fake accounts, automated registrations, or other fraudulent means will result in forfeiture of all referral rewards and may result in account termination; (d) KaddyAI reserves the right to modify, suspend, or terminate the referral program at any time and to claw back rewards where abuse is detected.

9. Forecasting Infrastructure Fee

KaddyAI charges a Forecasting Infrastructure Fee on all forecasting market plays. This fee is non-refundable and is deducted from the losing side of each market pool. The Forecasting Infrastructure Fee funds platform operations, creator rewards, referral rewards, resolution rewards, and the Ecosystem Growth Fund. The precise fee rate applicable to each market is displayed at the time of play. We do not refer to this fee as a "commission." 10. Platform Rights

KaddyAI reserves the right, at its sole discretion, to: (a) moderate, edit, suspend, or permanently remove any market, Host Page, or user content; (b) suspend or terminate any user account with or without prior notice; (c) withhold payouts pending investigation of suspected fraudulent activity; (d) modify platform features, fee structures, or policies at any time; and (e) apply technical, operational, or legal limits on market participation. Exercise of these rights does not constitute a breach of these Terms and KaddyAI shall not be liable for any loss arising from their exercise.

11. Fraudulent Activity Prohibited

Any form of fraudulent activity is strictly prohibited on the KaddyAI Platform. This includes, without limitation: account fraud, identity fraud, payment fraud, market manipulation, collusion, use of automated scripts or bots, multi-accounting, and abuse of promotions or the referral program. Detection of fraudulent activity will result in immediate account suspension, forfeiture of all pending and future rewards, and may result in civil or criminal legal action in accordance with the laws of Kenya. KaddyAI cooperates fully with law enforcement and regulatory authorities in investigations of fraud.

12. Intellectual Property

The KaddyAI Platform, including its software, design, trademarks, logos, and all proprietary content, is owned by KaddyAI LTD and is protected by Kenyan and international intellectual property laws. Users retain ownership of market content they create on the Platform but grant KaddyAI a worldwide, royalty-free, non-exclusive, sublicensable licence to use, reproduce, display, and distribute such content for the purposes of operating and promoting the Platform. You may not copy, reproduce, or distribute any KaddyAI-owned content without prior written consent.

13. Limitation of Liability

To the maximum extent permitted by applicable law, KaddyAI's total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the current available balance in your KaddyAI wallet at the time the claim arises. KaddyAI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, loss of data, or reputational harm, even if advised of the possibility of such damages. Nothing in these Terms excludes liability that cannot be limited under applicable law.

14. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or the Platform that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya. You agree to first attempt to resolve any dispute informally by contacting KaddyAI at legal@kaddyai.co and allowing 30 days for resolution before commencing formal proceedings.

15. Governing Law

These Terms and all matters arising from them are governed by and construed in accordance with the laws of Kenya, without regard to conflict-of-law principles. Users who access the Platform from outside Kenya do so at their own risk and are responsible for compliance with all local laws and regulations.
